Terms of Service

These Terms of Service (the «Terms») govern your access to and use of usite (usite.cc), the website and online-store service operated by UBASE LLC, a company organised in Estado de Wyoming, Estados Unidos de América («we», «us»). By creating an account or purchasing a plan, you agree to these Terms.

1. The Service

usite publishes and maintains one website or online store per customer, on your own domain or on a usite.cc subdomain, together with a dashboard to edit its content. Sites are built on our templates; the content (copy, images, catalogue, prices) is yours.

2. Eligibility and account

You must be at least 18 and legally able to enter into a contract. You are responsible for the accuracy of your account details, for keeping your credentials safe, and for all activity under your account.

3. Plans, pricing and billing

  • Prices are quoted and charged in United States dollars (USD): the site plan is USD 6 per month or USD 54 per year, and the store plan is USD 12 per month or USD 108 per year. Prices published on the website prevail.
  • Payments are processed by Stripe. We never store your full card number.
  • Subscriptions renew automatically at the end of each term (monthly or yearly) at the then-current price until cancelled.
  • Indirect taxes (VAT, GST, sales tax) applicable in your country are added where the law requires it.
  • We may change prices on 30 days' notice; the new price applies from your next renewal.

4. Cancellation and refunds

You may cancel at any time and your site stays online until the end of the period you already paid for. Full refund terms, including the statutory right of withdrawal in the EU and the UK, are set out in our Refund Policy.

5. Your content

You keep ownership of everything you upload. You grant us a worldwide, non-exclusive, royalty-free licence to host, reproduce and display that content solely to operate the Service, for as long as your subscription is active.

You confirm that you hold the rights to the content you publish and that it does not infringe third-party rights.

6. Acceptable use

You may not use the Service to:

  • Publish unlawful, defamatory, deceptive, hateful or violent content, or any sexual content involving minors.
  • Sell goods or services prohibited by applicable law or by our payment processor's policies (including drugs, weapons, explicit sexual content, pyramid schemes and counterfeit medicines).
  • Infringe anyone's intellectual property rights.
  • Distribute malware, run phishing campaigns, send spam or attempt to breach platform security.
  • Deliberately overload the infrastructure or resell the Service without our written consent.

We may suspend or take down content that breaches this section, with prior notice where feasible and immediately where legal or security risk requires it.

7. Online stores: who is the seller

If you use the store plan, you are the seller of record towards your buyers. We provide the software. You are responsible for product descriptions and quality, shipping, your own return policy, customer support, taxes, and compliance with consumer and data protection law in the countries you sell to.

8. Domains and third-party services

If you connect your own domain, your relationship with the registrar is yours and its fees are not part of your subscription. The Service depends on third parties (hosting, database, payment processing, transactional email); their outages may affect availability.

9. Our intellectual property

The platform, templates, code and the usite brand belong to UBASE LLC or its licensors. You receive a limited, non-exclusive, non-transferable and revocable licence to use the Service while your subscription is active.

10. Availability

We work to keep the Service continuously available but do not guarantee an uptime percentage unless expressly agreed. Scheduled maintenance is announced with reasonable notice.

11. Suspension and termination

You may close your account at any time. We may suspend or close it for breach of these Terms, non-payment, or on a competent authority's order. After termination you have thirty (30) days to export your content; afterwards we may delete it.

12. Warranties and limitation of liability

The Service is provided «as is» and «as available», without implied warranties of merchantability or fitness for a particular purpose, to the extent permitted by law.

To the maximum extent permitted by law, our aggregate liability is limited to the greater of (i) the amount you paid in the twelve (12) months before the event giving rise to the claim, or (ii) USD 100. We are not liable for lost profits, lost data or indirect damages.

Nothing here excludes liability that cannot be excluded by law, nor any consumer rights granted to you by the law of your country.

13. Indemnity

You will indemnify us against third-party claims arising from the content you publish, the products you sell, or your breach of these Terms.

14. Changes

We may update these Terms. We will publish the new version with its date and, for material changes, notify you by email at least fifteen (15) days in advance.

15. Governing law

These Terms are governed by the laws of Estado de Wyoming, Estados Unidos de América, excluding its conflict-of-law rules, and disputes are submitted to the competent courts of that state. If you live in the EU or the UK, this clause does not deprive you of the protection of the mandatory rules of your country of residence.
